Agreement

These Terms of Use (“Terms”) govern your use of the Nudge mobile app and its related services (“Nudge” or the “Service”), provided by Baker Studios LLC, doing business as Baker Studios (“Baker Studios,” “we,” “us,” or “our”). By downloading, accessing, or using Nudge, you agree to these Terms. If you do not agree, do not use Nudge.

What Nudge does

Nudge is an organizational tool that helps you import or add assignment deadlines, schedule reminders, plan focus sessions, track completed work, and view upcoming deadlines in a widget. Some features are part of Nudge Early Bird, an optional paid subscription described below. Features may change as the Service develops.

Nudge is a helpful companion, not an official academic record or guaranteed alarm. Always confirm deadlines, changes, submission requirements, grades, and completion status in your school’s learning platform or directly with your educational institution and instructors.

Eligibility

You must be legally permitted to use the Service where you live. If you are under the age at which you can agree to these Terms or consent to an optional account, a parent or legal guardian must review and agree to them for you. Do not create an account without any consent required by applicable law or your school’s rules.

Your account

Nudge’s core features work without an account. If you create an optional account using Apple, Google, or email, you are responsible for keeping the related device, email account, sign-in credentials, and sessions secure. You agree to provide accurate information and to notify us if you believe your account has been accessed without permission.

Your information and content

You may add assignment information, notes, source links, reminder phrases, focus steps, routine details, and a private calendar feed URL. You retain your rights in information you provide. You give us the limited permission necessary to process it only to operate, secure, and support the Service as described in the Nudge Privacy Policy.

You are responsible for having permission to use any calendar feed, link, content, or account you connect to Nudge. Do not add unlawful content or information that infringes another person’s rights.

Nudge Early Bird subscriptions

Nudge’s core features are free. Nudge Early Bird is an optional auto-renewable subscription that adds features such as a morning brief, earlier reminders, a Lock Screen countdown, widgets, and snoozing in your own words. The features included may change over time.

  • Billing. Subscriptions are sold and billed by Apple through your Apple Account. The price, billing period, and any free trial are shown in Nudge before you buy. Payment is charged to your Apple Account when you confirm the purchase or, if you start a free trial, when the trial ends.
  • Automatic renewal. A subscription renews automatically at the same price and period unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the current period ends.
  • Free trials and offers. A free trial is available once per Apple Account for the subscription group. If you cancel during a trial, you are not charged. Introductory or one-time offers are available only where shown and only to eligible people.
  • Managing and cancelling. You can manage or cancel a subscription at any time in Settings > your name > Subscriptions on your device. Cancelling stops future renewals; Early Bird stays on until the end of the period you already paid for. Deleting Nudge or your Nudge account does not cancel a subscription.
  • Refunds. Refund requests are handled by Apple under its policies, at reportaproblem.apple.com.
  • Early users. People who used Nudge before Early Bird was introduced keep Early Bird features at no charge while we continue to offer them.

Prices may vary by country or region and may change. If a price changes, Apple will notify you as its rules require before the new price applies.

School platforms and other third-party services

Nudge can request data from an iCalendar feed URL you provide, such as a calendar feed from Canvas, Schoology, Blackboard, Brightspace, Moodle, Sakai, ManageBac, Veracross or Blackbaud, or from another school system, and offers optional third-party sign-in. Those services are governed by their own terms and privacy policies. Nudge does not submit coursework, modify data in your school’s platform, verify grades, or receive authoritative submission status.

Nudge is independent software. Baker Studios is not affiliated with or endorsed by Instructure (Canvas), PowerSchool (Schoology), Anthology (Blackboard), D2L (Brightspace), Moodle, the Apereo Foundation (Sakai), Faria Education Group (ManageBac), Veracross, Blackbaud, Apple, Google, Supabase, or your educational institution. Platform names are used only to identify compatibility, and they are the trademarks of their owners.

Reminders and availability

Notification delivery, background refresh, calendar-feed availability, network access, device settings, operating-system behavior, and third-party services are outside our complete control. Reminders can be delayed, suppressed, or unavailable. You remain responsible for tracking and completing your work on time, even if Nudge does not import, update, display, or notify you about an item.

Acceptable use

You may use Nudge only for lawful, personal purposes unless we agree otherwise in writing. You may not:

  • access or use another person’s account or private calendar link without permission;
  • interfere with, overload, probe, or attempt to bypass the security of Nudge or its providers;
  • introduce malicious code or use automated means to scrape or abuse the Service;
  • reverse engineer, copy, resell, or exploit Nudge except where applicable law expressly permits it; or
  • use Nudge in a way that violates law, school rules, or another person’s rights.

Ownership

Nudge, including its software, original design, graphics, text, branding, and other materials provided by Baker Studios, is owned by or licensed to Baker Studios and protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable right to use Nudge on Apple devices you own or control as permitted by the App Store rules.

Apple App Store terms

If you downloaded Nudge from Apple’s App Store, Apple’s applicable App Store terms and Standard End User License Agreement also apply. These Terms are between you and Baker Studios, not Apple. Apple has no obligation to provide maintenance or support for Nudge. To the extent required by Apple’s terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions.

Suspension, termination, and deletion

You may stop using Nudge at any time. You can delete an optional account in Nudge Settings and can erase on-device Nudge data separately. We may suspend or terminate access to online features if you materially violate these Terms, create security or legal risk, or abuse the Service. Sections that by their nature should survive termination—including ownership, disclaimers, limitations of liability, and governing law—will survive.

Disclaimers

To the fullest extent permitted by law, Nudge is provided “as is” and “as available.” We do not warrant that Nudge will be uninterrupted, error-free, completely secure, or accurate; that a calendar feed will contain every assignment or change; or that any reminder will arrive at a particular time. Nudge does not provide educational, legal, medical, or other professional advice.

Limitation of liability

To the fullest extent permitted by law, Baker Studios and its members, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, lost opportunities, missed deadlines, academic consequences, or service interruption arising from or related to Nudge. Nothing in these Terms excludes liability that cannot legally be excluded. Your local law may give you rights that these Terms cannot limit.

Changes to Nudge or these Terms

We may update, suspend, or discontinue features and may revise these Terms as the Service or legal requirements change. We will post revised Terms at this URL and update the date above. If a change is material, we will provide any additional notice required by law. Continuing to use Nudge after revised Terms take effect means you accept them.

Governing law

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules, except where applicable consumer law requires otherwise. Any dispute will be brought in a court with lawful jurisdiction, and nothing here prevents either party from using small-claims court or another remedy that cannot legally be waived.
